1. Agreement to Terms

By purchasing and using Slackoff ("the Product"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not purchase or use the Product.

2. License Grant

2.1 Single Company License

Upon purchase, you are granted a non-exclusive, non-transferable, perpetual license to use Slackoff source code within one (1) company or organization only.

2.2 Permitted Use

You may:

  • Deploy the Product on your company's infrastructure
  • Modify the source code for internal use within your licensed company
  • Use the Product for an unlimited number of users within your licensed company
  • Create internal documentation and modifications

2.3 Prohibited Use

You may NOT:

  • Transfer, sell, or sublicense the Product to any other company or organization
  • Use the source code to create competing products or services
  • Distribute, resell, or monetize the Product or its derivatives in any form
  • Share access credentials or source code with individuals outside your licensed company
  • Remove or modify copyright notices or attribution
  • Use the Product for Software-as-a-Service (SaaS) offerings to external parties
  • Create multiple installations for separate legal entities using a single license

2.4 Additional Licenses

Each separate legal entity (company, subsidiary, or organization) must purchase its own license. Mergers, acquisitions, or corporate restructuring do not automatically transfer licenses.

3. Intellectual Property Rights

3.1 Ownership

The Product, including all source code, documentation, and related materials, remains the intellectual property of Slackoff. This license does not transfer ownership rights to you.

3.2 Copyright Protection

The source code is protected by copyright laws and international treaty provisions. Unauthorized reproduction, distribution, or creation of derivative works for commercial purposes is strictly prohibited and may result in legal action.

3.3 Attribution

You must retain all copyright notices, license information, and attribution present in the source code and documentation.

4. Payment and Delivery

4.1 One-Time Payment

The Product is sold for a one-time payment. No recurring fees or subscriptions are required.

4.2 Delivery

Upon successful payment processing:

  • You will receive an email with access credentials to download the source code
  • Access to GitHub repository (if applicable)
  • Setup documentation and deployment guides
  • License key or purchase confirmation

4.3 No Refunds

Due to the nature of digital products and immediate access to source code, all sales are final. No refunds will be provided after delivery of access credentials.

5. Self-Hosted Deployment

5.1 Your Responsibility

You are solely responsible for:

  • Hosting infrastructure and associated costs
  • Server maintenance and security
  • Database management
  • Compliance with data protection regulations in your jurisdiction
  • Slack workspace integration and permissions
  • Technical support for your deployment

5.2 No Hosting Provided

Slackoff does not provide hosting services. You must deploy the Product on your own infrastructure or chosen hosting provider.

6. Support and Updates

6.1 Setup Support

Email support is provided for initial setup and configuration questions for 30 days post-purchase.

6.2 Lifetime Updates

You will receive access to future updates and improvements to the Product at no additional cost. Updates are provided "as-is" without guarantee of specific features or timeline.

6.3 No Guaranteed Support SLA

Support is provided on a best-effort basis. We do not guarantee response times or resolution of issues. Support is limited to setup and configuration; we do not provide infrastructure or hosting support.

7. Warranties and Disclaimers

7.1 No Warranty

THE PRODUCT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 Limitation of Liability

IN NO EVENT SHALL SLACKOFF BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE PRODUCT.

7.3 Maximum Liability

Our total liability to you for any claims arising from or related to the Product shall not exceed the purchase price you paid for the license.

8. Data and Privacy

8.1 Self-Hosted Data

Since the Product is self-hosted, all Slack messages, user data, and leave information are stored on your infrastructure. Slackoff does not have access to, collect, or store any data from your deployment.

8.2 Purchase Information

We collect and store your email address and payment information (processed securely through our payment provider) solely for purchase confirmation, delivery, and support purposes. See our Privacy Policy for details.

9. Slack Integration

9.1 Third-Party Service

Slackoff integrates with Slack, a third-party service operated by Slack Technologies, Inc. Your use of Slack is subject to Slack's Terms of Service and Privacy Policy.

9.2 No Affiliation

Slackoff is not affiliated with, endorsed by, or sponsored by Slack Technologies, Inc.

9.3 Slack API Compliance

You are responsible for ensuring your use of Slackoff complies with Slack's API Terms of Service and Developer Policy.

10. Termination

10.1 Termination for Breach

We reserve the right to terminate your license immediately if you breach these Terms, including but not limited to unauthorized distribution, resale, or use outside the scope of your license.

10.2 Effect of Termination

Upon termination, you must cease all use of the Product and destroy all copies of the source code in your possession.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of the Product after changes constitutes acceptance of modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising from these Terms or your use of the Product shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 2015 (India) and the rules of the Indian Council of Arbitration, except where prohibited by law.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms constitute the entire agreement between you and Slackoff regarding the Product and supersede all prior agreements and understandings.
